Marvell to acquire Lumentum in $115B all-stock deal for optical chips
On November 2, 2026, Marvell Technology agreed to buy Lumentum Holdings in an all-stock deal. Each Lumentum share converts into 4.5 Marvell shares, which the companies value at about $1,132 per Lumentum share and an implied enterprise value of $115 billion. The price includes a premium of 23.9% over each company's closing price on October 28, the last trading day before deal speculation began. Reuters puts the equity value at $102.54 billion, and Bloomberg rounds it to roughly $102.6 billion.
After closing, Marvell shareholders will own about 67% of the combined company on a fully diluted basis, and Lumentum shareholders will own about 33%. Three Lumentum directors, including CEO Michael Hurlston, will join Marvell's seven-member board, and Marvell chairman and CEO Matt Murphy keeps both roles. The companies expect more than $1 billion in annual run-rate cost savings. The deal needs approval from stockholders of both companies, regulatory clearances and other customary conditions, and the companies expect it to close in the first half of 2028.
The merger agreement sets large break fees. Marvell owes Lumentum $5.8 billion if its board withdraws its recommendation or Marvell leaves to accept a superior proposal. Lumentum owes Marvell $2.9 billion in corresponding circumstances. Marvell pays a $3.2 billion regulatory termination fee if the deal fails on specified antitrust or foreign investment grounds, and the outside date is November 1, 2027, extendable in steps into August 2028.
Why it matters
For teams building AI infrastructure, optical interconnect is becoming a limiting input for large GPU clusters, and this deal combines a major laser and transceiver supplier with a custom silicon and networking company. That leaves fewer independent suppliers for buyers. Lumentum already supplies lasers to Marvell, so the combined company would control more of that input. Buyers of optical transceivers, lasers or circuit switches should expect allocation and pricing decisions to sit with a single larger vendor.
For investors and operators, the all-stock structure matters. Lumentum holders receive a fixed number of Marvell shares, so they carry Marvell's share price risk until closing, and their payout falls when Marvell's stock falls. Both stocks dropped sharply on the announcement. Funders evaluating AI infrastructure names should also note that analysts disagree about dilution and earnings effects, which will depend on the final terms and integration.
