Anthropic plans $3.5B share sale to Japanese investors in US IPO

Reuters reported that Anthropic plans to sell up to 552.9 billion yen, about $3.5 billion, of new shares to investors in Japan as part of its proposed US listing. The figure appears in a filing made public on Monday, November 2, and Reuters used an exchange rate of 157.82 yen to the dollar. Mizuho Securities will manage the Japanese sale. Goldman Sachs, Mitsubishi UFJ Morgan Stanley Securities and Morgan Stanley MUFG Securities are among the firms that will take subscription applications. The company says the new shares will fund working capital, operating expenses and capital expenditure. The filing does not state the overall size of the offering or its valuation.
The Japanese tranche is larger than the $2.2 billion that Japanese investors secured in SpaceX's $75 billion IPO in June, which was the largest ever at the time. Anthropic's registration statement, filed October 26, says it intends to list Class A common stock on the Nasdaq under the ticker ANT. Besides Japan, the company named Australia, Canada, certain European Economic Area member states, Switzerland and the UK as places for public offers. Separately, Senator Elizabeth Warren pressed Chief Executive Dario Amodei for written answers on the company's existential-risk disclosures by November 3.
Why it matters
For founders, the filing puts a public price on the capital needs of a frontier lab. Its prospectus discloses risk factors, spending commitments and revenue figures that rivals, customers and suppliers can measure against their own plans. Reported first-half 2026 figures include $16.3 billion in revenue and an $80.7 billion net loss, so any company raising at similar scale will be benchmarked against those numbers.
For investors and operators, the Japan allocation shows how a large AI listing can reach buyers across several markets at once. The disclosures on share classes, the use of proceeds and founder voting control will shape how public investors value other AI companies. Warren's letter also suggests that safety disclosures may become part of the scrutiny applied to any AI company that goes public.
