iHuman acquires Perfect Lingo for $4M
The ¥27M for Perfect Lingo was one half of a two-app deal, alongside ¥67M for All Knowledge. The Perfect Lingo sellers may also receive contingent cash earn-outs of up to ¥12M, tied to financial conditions over the next three years. The price falls to ¥21M if certain material adverse events occur. iHuman had a Big Four accounting firm prepare an independent valuation, and the prices were set with its help. The deal also changes iHuman's leadership. Teng Li, from the acquired businesses, becomes Co-CEO once the transactions close, and Congyu Lin joins as Chief Strategy Officer. Perfect Lingo covers vocabulary, pronunciation and scenario-based English learning, with AI-powered assessment. That moves iHuman beyond its children's core. The company says the purchases broaden its reach across more ages and learning needs. Its first-quarter report says integration is progressing as planned. For AI founders, this is an exit route for a small vertical app. The buyer is a listed company paying a modest upfront sum, with part of the value held back as earn-outs and a downside price adjustment. Sellers in similar deals should expect their retention and revenue to be priced in, and the founders may be asked to stay on and run the combined business.
