Thrive Holdings agrees to buy ADT for $7.6B in cash
Thrive Holdings, a holding company spun out of Thrive Capital in 2025, will acquire ADT for $10.00 per share in cash. That price is a 45.6% premium to ADT's unaffected closing share price on October 27. The equity value is about $7.6B, and the enterprise value, including debt, is $15.3B. ADT will become privately held and its stock will stop trading on the New York Stock Exchange once the deal closes. Thrive Holdings says it holds more than 75 companies and aims to hold them long term while revitalizing them with AI. OpenAI is both a partner and an investor, supplying models and forward-deployed engineers. The companies have not named the AI products they plan to launch. For founders, this shows AI-focused holding structures buying large, cash-generating service businesses and retrofitting them with models instead of starting from zero. An AI company selling into legacy categories such as security or field services may find acquirers willing to pay for recurring revenue plus an AI operating playbook.
