Palo Alto Networks acquires Portkey for $117M
The 10-K breaks the $117M into $110M of goodwill and $15M of identified intangibles. It also shows $17M of acquired cash against $25M of net liabilities assumed. Palo Alto Networks also issued $2M of replacement equity awards, expensed over future service periods. The earlier 10-Q put the definitive agreement at $140M in cash and replacement awards, subject to adjustments, so the final consideration came in lower. The deal closed May 29, 2026, a month after the April 30 announcement. Portkey was founded in 2023 and had 47 employees. It had raised $18M, including a recent $15M Series A led by Elevation Capital. Its gateway handles trillions of tokens a month and offers access to more than 3,000 models through one interface, along with caching, quotas and failover. Palo Alto is folding it into Prisma AIRS, alongside agent identity tooling from CyberArk's Idira and observability from Chronosphere, both recent acquisitions. For AI founders, the gateway layer between agents and model APIs is being treated as a security control point, not developer plumbing. Security platforms are buying it rather than building it. Startups in routing, observability or cost control can expect interest from incumbents, though the price paid here was modest next to the capital raised. Teams that depend on a standalone gateway should also expect enterprise buyers to ask for it inside a broader security stack.
