UiPath acquires WorkFusion for $189.5M
The purchase closed on February 5, 2026, and terms were not disclosed when it was announced. The 10-Q for the quarter ended July 31 supplies them. Of the $189.5M, $160.0M was paid in cash at closing. The other $29.5M is contingent consideration booked at acquisition-date fair value, so the amount actually paid depends on future outcomes. The allocation assigns $92.4M to intangibles, split between customer relationships (7-year life) and developed technology (5-year life). Goodwill is $58.2M, and a deferred tax asset accounts for $30.4M. WorkFusion sells pre-built agents for anti-money-laundering and know-your-customer work. It counts Deutsche Bank and Raymond James as customers. It had raised about $350M in total, including a $45M round in September 2025, so the price sits well below its capital raised. UiPath's earlier vertical deal was Peak, a UK pricing and inventory company bought in March 2025 for roughly $40M. For AI founders, the deal shows a buyer paying for regulated-industry agents with existing bank customers, not for general-purpose tooling. The earn-out structure shows that part of the value was held back pending results. Vertical agent companies with large funding totals should expect exits that do not always clear their preference stacks.
