SAP acquires Prior Labs for ~$464M
The deal closed on July 16, 2026, after customary closing conditions and regulatory approvals were met. SAP's filing puts the cash price at about €0.4B. The separate, larger figure is a commitment: more than €1 billion over four years to scale Prior Labs into a frontier AI lab. Some coverage treats that sum as the purchase price, and one journalist's account cited by Dealroom claimed €700M upfront plus a €300M earnout. Neither is confirmed, and both conflict with the filing. The lab keeps its brand, leadership, research agenda and customer relationships, and will keep publishing research and releasing models openly.
The target had raised little. It was founded by Frank Hutter, Noah Hollmann and Sauraj Gambhir and had completed a single €9 million round. SAP plans to bring the research into SAP AI Core, Business Data Cloud and Joule, and the open-source TabPFN technology has over 3 million downloads. SAP has also been buying other data and AI companies, including Reltio and Dremio.
For founders, an 18-month-old research lab with open models and a niche in structured data drew a strategic buyer and a multi-year funding pledge. Incumbents with enterprise data now see tabular models as a category worth owning, not only language models.
