Intellistake Technologies acquires NanoAi Technologies for $12.1M
The consideration is all stock: 34,106,412 Intellistake shares priced at C$0.50. Vesting is tied to performance milestones linked to contracts and revenue that NanoAi generates. The agreement is dated August 3, 2026, and is arm's length with no long-term debt assumed. Closing still depends on due diligence, including verification of NanoAi's intellectual property title, plus an audit of its financials. Intellistake must also keep at least $2 million in cash and receive no objection from the Canadian Securities Exchange. A bridge loan to NanoAi is planned, subject to the same exchange clearance. NanoAi founder Craig Micklich, a former Navy SEAL, and a second nominee would join Intellistake's board at closing. NanoAi makes standoff sensors that detect airborne threats without contact. It has a licensed development collaboration with helmet maker Gentex, though the technology is not yet commercially deployed. On October 15, 2026, Intellistake reported a lab test in which the sensor registered an explosive threat at 10 feet in 0.80 seconds. For AI founders, the deal shows a small-cap infrastructure company buying into defense hardware, with the AI layer pitched as the way to turn sensor data into decisions. Paying in milestone-vested equity moves the risk onto the sellers, a structure worth noting for any acquirer short on cash. The pre-commercial status and open closing conditions mean the value is still unproven.
