Sword Health acquires Headspace for $200M-$300M
The agreement was signed and announced on September 16, 2026, and the companies still have not confirmed a price. Closing is expected at the start of Q4 2026, subject to customary conditions. A July filing with the Massachusetts Health Policy Commission showed the structure: OrangeDot, Headspace's parent, merges with a temporary entity and becomes a wholly owned Sword subsidiary. Headspace brings a provider network of more than 15,000 clinicians and over 100 million users, with upward of 20,000 employers offering it to staff. The price is a steep markdown. Headspace was valued at $3 billion at its Ginger merger five years ago, and even $300 million is below the $320 million it raised, per Crunchbase. For Sword, the deal follows its $285 million purchase of Kaia Health. Sword raised $40 million in 2025 at a valuation above $4 billion. It already sells AI mental health products, including Mind and the consumer product Dawn. For AI founders, the deal shows a well-funded AI health company buying distribution instead of building it. Headspace's employer and health plan contracts are the asset. The valuation reset also signals that consumer wellness brands with large user bases but weak AI differentiation may sell at steep discounts. Acquirers with clinical AI platforms are the likely buyers.
