Sadot Group acquires TradeIQ for $6M
The $6 million price was paid with $50,000 in cash, 200,000 new common shares and 3,950 shares of a new Series C non-voting, non-convertible preferred stock. The seller, Hong Kong-based Litial Ltd, transferred the source code, predictive models, training datasets, data infrastructure and documentation, and agreed to a two-year non-compete in commodity trading and risk management software. Delivery of the IP is due within 21 days of July 14, followed by 90 days of seller transition services. The deal sits inside a wider balance-sheet repair. In May 2026, Nasdaq told Sadot it no longer met the $2.5 million minimum stockholders' equity requirement. Alongside TradeIQ, the company set up a $100 million convertible note program and a $100 million equity purchase facility. Management says equity now exceeds $7 million, but that still needs audit review and a final Nasdaq ruling. Shares rose more than 41% on July 16. For AI founders, the deal shows a distressed public company buying predictive models as a way to reposition itself as an AI platform. Small teams with working models and clean IP can find buyers whose motives are financial as much as strategic. Sellers taking equity, especially preferred stock, are exposed to the buyer's listing and financing risk.
