Anthropic plans up to $3.5B share sale to Japanese investors in IPO
Anthropic has disclosed plans to sell up to 552.9 billion yen, or about $3.5 billion, of newly issued shares to investors in Japan, linked to its planned US listing. Reuters reported the figure from a Japanese filing published on Monday, November 2. The amount is a ceiling, so the final Japan allocation depends on pricing, and the registration statement has not set a share count or price range.
The offering also reaches investors in Australia, Canada, parts of the European Economic Area, Switzerland and the United Kingdom, according to a registration statement filed on October 26, per Seeking Alpha via TradingView. Seoul Economic Daily reported that Korea is limited to a private placement. Mizuho Securities will manage the Japan sale, with Goldman Sachs and Mitsubishi UFJ Morgan Stanley Securities among firms taking subscription orders, Reuters said. Proceeds from the Japan shares would go to working capital, operating expenses and capital expenditure.
The filing does not state the overall size or valuation of the IPO. Reuters reports that some investors have discussed a valuation of about $1.5 trillion, while Seoul Economic Daily cited market expectations between $1.5 trillion and $2 trillion. BigGo Finance put Anthropic's Series F post-money valuation at $183 billion. The Japan ceiling is roughly 1.6 times the $2.2 billion Japanese investors took in SpaceX's June IPO, which raised $75 billion in total.
Why it matters
For builders, the filing shows a frontier lab planning to fund compute and operations through public markets, not only private rounds. Japanese institutional and other eligible investors would take part directly, which widens the pool of capital available to AI companies after a listing. The stated uses, working capital, operating expenses and capital expenditure, point to large ongoing infrastructure spending.
For founders and investors, the pricing is the signal to watch. The gap between the $183 billion Series F mark and the roughly $1.5 trillion talk shows how far expectations have moved, and the final price will set reference points for other AI valuations. Operators planning for an IPO should also note that the company is distributing shares across many countries, not only the US.
