Cerebras Systems secures $850M in debt financing
The facility is a five-year syndicated revolver, so Cerebras can draw up to $850M as needed instead of taking it all at once. Morgan Stanley, Citi, Barclays, UBS, Crédit Agricole CIB, MUFG, Mizuho, TD Securities and Silicon Valley Bank were joint lead arrangers and bookrunners. CFO Bob Komin described it as the company's inaugural credit facility. The company said it brought total capital raised to $2.85 billion in eight months. The loan follows two large equity rounds: a $1 billion Series G closed in September 2025, and a $1 billion Series H in January 2026. Cerebras also has a separate working capital loan. It had no outstanding debt at the end of 2025, then added $1.0 billion in debt in January 2026, according to its IPO filing. Dealroom's record also lists an IPO in May 2026. For AI founders, the deal shows how a hardware-heavy company can use a bank revolver once it has strong equity backing and large customer commitments. A revolver gives flexibility for data center and chip costs without the dilution of another equity round. Debt service obligations still apply, and the filing flags that cloud services need additional capital for systems and long-term data center obligations.
